Steps to change company name

Step 1: Look up the new company name to evaluate the possibility of using the new name:

Look up the new company name on the National Business Registration System to see if the new company name can be used as desired by following the link:  https://dangkytinhdoanh.gov.vn

The proposed name for the company must not coincide with the existing company nationwide and must be set with a combination of Latin letters (from A to Z).

Step 2: Prepare a company name change file including

• • Application for registration of  change of company name  (signed by the legal representative);
  • Equal decision on enterprise name change of the Members’ Council (signed by the Chairman of the Members’ Council). The decision must clearly state the amended contents in the company’s charter;
  • A valid copy of the meeting minutes on business name change of the Members’ Council (signed by the chairperson and the person recording the minutes). The minutes must clearly state the changed contents in the company’s charter;
  • Notice of change of business registration information (company name) (signed by the legal representative);
  • Notice of sample of the company’s seal (signed by the legal representative – in case the enterprise must re-engraving the seal);
  • Authorization documents or referrals for applicants to apply and receive results.

Step 3: Submit the application to change the company name at the business registration office

• • After the application has enough signatures and seals, proceed to submit the application online of the business registration agency
  • After receiving the business registration agency’s receipt, the enterprise shall submit the paper application directly at the business registration office;
  • The registration authority issues the results of approval of the dossier or request for amendment of the dossier (if any).

Step 4: Re-engraving the corporate seal (if the business changes the Vietnamese name of the company)

• • After the enterprise is granted the Certificate of Business Registration with the new company name, the enterprise carries out the procedure to engrave the new legal entity’s seal and DOES NOT publish the new seal on the national business registration portal according to the regulations. provisions of the Enterprise Law 2020, effective from January 1, 2021.

What to do after changing the company name

After  changing the company name  on the business registration certificate, the enterprise needs to do the following:

– Engrave the company’s circular seal and announce the use of the seal sample on the National Enterprise Portal

– Cancel the old invoice in use (in the case of still using printed invoices) and register to use electronic invoices with new company information;

– Notification and registration of change of owner information with corporate bank accounts;

– Notice to partners who have signed service contracts

– Notify and submit a dossier to correct the information of the owner’s name on the papers registered with the owner’s information;
